Your SUSS shareholding is now: * Please use this number as your total SUSS shareholding when completing the form at (http://www.shareholdersunited.org/shares ) AND the postal form (which you can print out at the end of the online process) to tell us what decision you have made regarding your shares.

We are writing to all of our 32,000 members informing them of their options in respect of their shares held in the SU share scheme (SUSS). Many of you will have already received the letter. Those who have not can complete the online form and print and return the response page at the end of the online process. The letter has to be compliant with regulatory requirements, so it is a long and wordy document, but we have to act in our members' best interests and in accordance with the law at all times. The letter requires an instant response (please do this via the website now http://www.shareholdersunited.org/shares if you have not yet received your letter or in case your postal response does not get to us in time), given the very tight deadlines imposed on us by Glazer and our brokers. We must have your reply by Wednesday 8 June, otherwise we will be selling your shares on your behalf in accordance with our SUSS rules. If you wish your shares to be convereted to cash in your Phoenix Fund account you do not need to do anything.

SU is not allowed to give any financial advice, but we can give guidance as to what your directors and committee members are doing. We intend to keep a number of shares as our emotional investment and to ensure that as minority shareholders, we can make our voices heard as loudly as possible. But we will be accepting the offer for most of our shares, so that we can put Glazer's money to work for us, to create a 'Phoenix Fund' that we hope will one day be used to buy our club back.

This is the option which we think will best further our continuing independence campaign and we urge all of our members to give this option serious consideration ("transfer part back to me and sell the rest" - option 4 or if you want all shares to be transferred into the Phoenix Fund it is option 1).

Please note that you must complete the online form before Wednesday June 8th, 3pm AND ALSO send us the postal version immediately.

If you wish your shares to be converted to cash held in your 'Phoenix Fund'
account* you need do nothing and this will happen automatically. You do not need to send your form by post if you are selecting this option.

*The structure and terms and condition relating to the Phoenix Fund are currently being drawn up so monies will be held in your name within the SUSS bank account until the PF is formally established or you choose to withdraw the funds at a later date.


We still need signed letters and payment where applicable though, whether you complete the online Form or not, as transfers of shares back to members incurs stamp duty and other costs.

PLEASE NOTE THAT WE STILL NEED A SIGNED LETTERS TOO EVEN IF THE LETTER ARRIVES AFTER THE WEDNESDAY DEADLINE AS WE WILL ACT UPON YOUR ELECTRONIC INSTRUCTION IF NO PAPER INSTRUCTION IS RECEIVED BY THE DEADLINE

IF RECEIVED BEFORE THE DEADLINE, PAPER INSTRUCTIONS WILL OVERRIDE ANY OTHER INSTRUCTION



PHOENIX FUND - PROGRESS UPDATE
Projections suggest that more than 98% of members will opt for conversion
of all or most of their shares into cash in their Phoenix Fund account. We
will be making further announcements with regard to the precise structure
of the fund shortly but we have to prioritise processing of members
responses to our letter (and online) due to the extremely short timescales
that have been imposed on us by Glazer's actions.

We are also writing to the 41,700 Manchester United shareholders who hold
shares outside our share scheme (private shareholders accounted for 140
million pounds worth of shares at the last count) so we hope to get a good

FC UNITED - MESSAGE FROM THE BOARD
Many members will have seen the press release issued yesterday by the
Steering Committee for FC United. The Steering Committee has asked us to
bring this to the attention of our members as soon as possible as there is
a tight deadline for registration of the new club for next season.

Those of you who were at the Apollo rally will know that the NFS coalition
is still very much in place. FC United is just as much a part of the anti-
Glazer movement as is the fans▓ boycott campaign or our own Phoenix Fund.
We have to support each other, in or out of Old Trafford, with FCU or not -
unity is everything.

But each individual fan, whether a member of SU or not, has to make his or
her decision about these things - like whether or not to go to matches
under Glazer. Some are renewing some are not. No-one can make that decision
for you. The same goes for FC United - some of you are very much against
the idea of a breakaway, some are passionately in favour. It is an
individual choice but it is vital that, whatever our choice, we all stay in
the fight together.

SU was asked to put forward a representative on the FCU Steering Committee
(your Chair in fact), but we turned it down because our focus for the next
few weeks has to be on the SU share scheme and getting the boycott campaign
and the Phoenix Fund up and running successfully. It is vital that we make
the process as smooth as possible for our members and that the Phoenix Fund
is launched with maximum funding.

For the avoidance of doubt (some members have queried this) it should be
made clear that FC Untied is a completely independent project from
Shareholders United and the Phoenix Fund and any money put into the Phoenix
Fund will remain in your own account for the purpose of building a 'war
chest' to buy back Manchester United when Glazer pulls out or is forced to
sell.

As stated in our release yesterday, we will be announcing various positive

"We are determined to bring FC United into existence. Our bid to be admitted into the North West Counties League will be made at their AGM on June 19 and we are hopeful of a favourable response. This isn't a knee-jerk reaction to the Glazer takeover which we are totally opposed to. We are not stupid. We know we can't compete against the might of Manchester United. But what we want to create is a football club for all those fans who will not accept what is taking place at Old Trafford.

"We have already got pledge forms signed by over 1,000 United fans who wish to become paying members of the new club so there is money in the kitty. It is that money we intend to use to engage the services of a manager who knows North-West soccer inside out which is why we made our approach to Brian Kidd. We understand the reasons why he turned us down but there are other people equally well qualified we would like to speak to.

"We are not day-dreamers who are thinking that some time in the future FC United are going to be in the Premiership. Our ambitions for the new club stretch no further at the moment than getting into the Conference one day. Our reasons for forming the new club are simple. We want a club which is owned and run by its members on the lines of Barcelona. We no longer want to be associated with a club owned by an American family who care nothing for ordinary supporters.

"We want United fans to come and watch a team that kicks off at three o'clock every Saturday. We want supporters to be able to stand with their mates and enjoy a game of football just like they once did at Old Trafford. Even at the level FC United will be playing at, we still believe the fans will turn up.

"If you take the various supporters' organisations who have turned their back on Old Trafford because of the Glazer takeover, the new club could have a potential fan base in the region of 40,000."

The situation is this:

Glazer IS going to get all the shares - I don't think I doubt that. I DO believe he will surpass the number he needs to force us to sell. BUT if he doesn't the value of our shares will be ZERO and a lot of people (and I am included in that) just CANNOT afford to lose their money.

I've had my shares since 1979. I've given many, many years of my life to keeping a hold of them. Like others I've failed.

Now is the time to take the action Shareholders United suggest.

We sell to him (bar a few shares - say 10/20 which we keep just in case he doesn't make the compulsory purchase limit) and put the money in the Phoenix Fund and we wait until that fund can buy back a controlling interest in the Club.

It will take a few years. It may take longer than I have on this earth. BUT we must try.

In the meantime we must boycott the Club in the way that we see fit.

For my part I just can't give up my season ticket. There are two reasons for this. One is honourable and one is plain weakness.

I am a drug addict. My drug is Manchester United. I was born with the addiction already in my system. I am weak. I cannot give it up.

My dad could NOT get to Old Trafford without me. Fact. He is an old chap now and he needs me. He wants to go. He has been going for SEVENTY years and I can't deny him his wish for the very few years he has left.

The above said, Glazer will almost certainly price us out of it in the VERY near future.

HOWEVER I will NEVER buy another piece of merchandise until Glazer is gone. Whilst I am not the day-tripping-spend-loads-in-the-megastore person that many are, I do spend a fair bit over each year.

Every Christmas for as long as I can remember my present from my mam and dad was a selection box and a Roy of the Rovers annual. When Roy finished my mam was in a fit as to what she should buy me. "A pair of United slippers" I told her. And thus it has been these last few years. NO MORE. I'll just have a selection box.

If everybody on this (and other) List (and ALL their friends) did likewise his profit WOULD drop - of that there can be NO doubt. If we ALL refused to buy ANYTHING from the Club then he WOULD be defeated.

He can only take ticket prices so far before ALL match-going regulars (poor people like me in the main) will NOT be able to afford to go - no matter HOW MUCH they still want to.

He is NEVER going to get the television deal he needs as there is far too much vested (financial) interest in that money by the FA and EUFA. They could not operate if he took such a large slice of THEIR cake. As soon as he really threatens that the Government will step in and see him off.

So if he has NO (additional) television monies and WE stop his merchandise revenue he MUST lose. It IS that simple.

The Phoenix Fund IS a GOOD idea. We can all deposit our monies (however great or small the sum - and THAT is a relative term of course) in the Fund and watch our money grow.

If we ALL do it then the amount that the Fund will have on deposit will make that Fund a VERY, VERY big depositor and thus it (the Fund) will have a great deal of (financial) clout.

I am pretty dim and I can see that that is a reality.

So that is what I will do. I will admit my failure in not being able to 'kick my habit'. I will continue to buy my season ticket for as long as I can afford to (not long I don't think). I WILL NOT spend ONE PENNY on Manchester United merchandise until he is gone. I WILL deposit the money I get for my shares in the Phoenix Fund.

I will pray to my God that I live long enough to see the end of this terrible man and a return to the day when ALL Manchester United supporters can retake what was theirs in the first place.

I pray to live long enough to see the day when Manchester United returns to US. We ARE the people - WE ARE MANCHESTER UNITED.

Let NO person EVER doubt that.

These things, in my opinion, are more divisive than FC United. I'm not 100% behind FC United, but i am 100% behind those that are. Why? Why not. These are people that i've been stuck in escorts with, people that i've been stuck on trains with, people i've sung with, people i've shared a beer with, people I have actually been United with.
